Terms of Service

These Terms of Service ("Terms") govern your access to and use of ExamPass (exampass.ca) (the "Service"), operated by 1000701896 Ontario Inc., doing business as ExamPass ("ExamPass," "we," "us," "our"). By creating an account, purchasing access, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is

ExamPass is an online exam-preparation tool for students in Ontario's Real Estate Salesperson pre-registration program. It provides practice questions, explanations, mock exams, and study materials for Courses 1 through 4 and the residential and commercial Simulation exams.

The Service is a study aid. It is not the official RECO-approved education program, it is not a substitute for completing your provider's required coursework, and it does not register you for, or administer, any examination. The Service is designed for Ontario's program; if you access it from another jurisdiction, you do so on your own initiative and at your own risk.

2. No affiliation or endorsement

ExamPass is independent. We are not affiliated with, endorsed by, or sponsored by the Real Estate Council of Ontario (RECO), Meazure Learning, Humber Polytechnic, Algonquin College, Fleming College, Career College Group, or any other education provider or regulator. Provider, course, and exam names are used only to identify the material our content helps you prepare for, and their use does not imply any partnership or approval.

3. Eligibility and your account

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your password secure, and for all activity under your account. Use a unique email address for your account and tell us promptly at info@exampass.ca if you suspect unauthorized use.

Accounts are for a single user. Access is granted to one person and may not be shared, resold, transferred, or used by more than one person, and may not be used on multiple devices at the same time. We may monitor account activity for signs of shared or concurrent use, and we may suspend or terminate access we reasonably believe is being shared or used in breach of these Terms, without a refund.

4. Purchases, access, and the access window

Access to a product is sold as a one-time purchase per product (prices vary by product, from $28.99 + HST). Prices are shown in Canadian dollars, and checkout supports cards in Canadian currency. Applicable taxes are added at checkout.

When you purchase, you receive the right to activate a two-month (60-day) access window, which you may activate at any time within one year of purchase. You choose when to start the window so you can begin studying when you are ready. Once activated, access runs continuously for the window and then ends. Not using the time does not extend it or transfer it to another product. Access may be extended only if and when we offer a paid extension.

5. Payments

Payments are processed by Stripe, our third-party payment processor. We do not collect or store your full payment card details; Stripe handles card data under its own terms and security standards. You agree to provide current, complete, and accurate payment information and authorize the applicable charge. If a charge cannot be completed, is reversed, or is charged back without cause, we may suspend or revoke access.

6. Previews

We may show static previews of the Service (for example, screenshots of questions and explanations) on our marketing site so you can see its style before buying. Previews are provided "as is," may be limited in scope, and may be changed or withdrawn at any time.

7. Acceptable use and conduct

You agree not to:

  • share, resell, sublicense, transfer, or distribute your account or our content;
  • copy, scrape, reproduce, republish, or distribute our questions, explanations, or materials, except for your own personal study;
  • use automated tools, bots, screen-scraping, or data-mining to access or extract content;
  • reverse engineer, decompile, or attempt to derive the source of the Service;
  • attempt to disrupt, overload, probe, or gain unauthorized access to the Service or its systems;
  • submit unlawful, harassing, abusive, hateful, obscene, or deceptive content through any feature, including the "Report an issue" tool and the AI-powered study assistant (the "AI Tutor"); or
  • use the Service to break any law or to infringe anyone's rights.

We may suspend or terminate accounts that breach this section, and the "Report an issue" tool is for genuine problems with a question, not for course-content support requests.

8. Our intellectual property

The Service and its content - including question wording, explanations, structure, software, and design - are owned by ExamPass or licensed to us, except for the underlying facts of public law, which belong to no one. Our content is created from public legislation (TRESA and its regulations) and published RECO learning outcomes, not from any provider's copyrighted course materials. All rights not expressly granted are reserved.

We grant you a limited, personal, non-transferable, non-exclusive, revocable licence to use the content for your own exam preparation during your access window. Unauthorized copying, scraping, or distribution is a breach of these Terms and of copyright law, and may result in immediate termination of access and legal action.

9. AI Tutor

The Service may include the AI Tutor, which answers follow-up questions about the material you are studying. The AI Tutor is a study aid that can be incomplete or wrong, and it is not legal, professional, or career advice. Do not rely on it as an authoritative statement of the law; always verify anything important against your official course materials and the current legislation. Do not submit sensitive personal information to the AI Tutor. To keep the feature available and affordable, we may apply usage and rate limits, and we may change or remove it at any time. We are not responsible for decisions you make in reliance on AI-generated output.

10. Your device and internet access

You are responsible for the devices, software, and internet connection you use to access the Service, and for any related costs. We are not responsible for problems caused by your equipment, browser, operating system, network, viruses, or other factors outside our systems, and we do not provide general technical support unrelated to the Service.

11. Service availability

We aim to keep the Service available, but access may be interrupted for maintenance, updates, or reasons beyond our control, and some interruption is unavoidable. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. Please schedule enough study time across your access window so an occasional outage does not affect your preparation. We may modify, suspend, or discontinue features at any time.

12. No guarantee of results

We build the Service to help you prepare, but we cannot and do not guarantee that you will pass any exam or obtain a licence. Exam outcomes depend on many factors outside our control, including your own preparation and the official examination itself. Our Mock Exam and readiness estimates are practice tools only: they are not an official examination, and your scores or readiness do not predict or guarantee your result on the real exam.

13. Accuracy and changes to content

We work to keep our content accurate and current with the law, but legislation, regulations, and RECO learning outcomes change. We do not warrant that all content is complete, current, or error-free at all times. Always rely on your official program materials and current law as the authoritative source.

14. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by law. We do not provide legal, professional, or career advice.

15. Limitation of liability

To the fullest extent permitted by law, ExamPass and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost opportunities, lost data, or exam outcomes, arising out of or relating to the Service. Our total cumulative liability for any claim relating to the Service will not exceed the amount you paid us for the product giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless ExamPass and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, or your breach of these Terms or of any law or third-party right.

17. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way we reasonably consider harmful, in our discretion and without a refund where the breach warrants it. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the revised Terms.

19. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. If you have a concern, please contact us first at info@exampass.ca so we can try to resolve it informally. The courts located in Ontario will have exclusive jurisdiction over any dispute, subject to any applicable consumer-protection rights you may have.

20. General

These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us about the Service and replace any earlier understanding. If any provision is found unenforceable, the rest stays in effect and the unenforceable part is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor or affiliate. We are not liable for delays or failures caused by events beyond our reasonable control.
